Manufacturing Service Agreement

Clear, predictable terms governing quoting, tooling amortization, and volume manufacturing contracts.

Master Service Agreement (MSA)

All volume production is governed by a mutually executed MSA which establishes the baseline legal framework, limiting liability and defining the scope of manufacturing services, quality warranties, and delivery schedules.

Tooling Ownership (NRE)

Upon full payment of Non-Recurring Engineering (NRE) fees for injection molds or custom fixtures, the client assumes 100% ownership of the tooling. ABC Manufacturing stores and maintains the tooling free of charge while production contracts are active.

1. Quotations and Purchase Orders

Quotes provided by ABC Manufacturing are valid for thirty (30) days unless otherwise specified. A binding contract is formed only upon ABC Manufacturing’s formal written acceptance of a Client's Purchase Order (PO). We reserve the right to review and reject POs that deviate from the agreed-upon quotations or lead times.

2. Lead Times & Force Majeure

Estimated lead times commence upon receipt of all necessary materials, finalized CAD/BOM files, and executed Purchase Orders. ABC Manufacturing shall not be liable for delays caused by global supply chain disruptions, material shortages, or acts of God (Force Majeure).

3. Quality Warranty & Defect Resolution

We warrant that all manufactured goods will conform strictly to the specifications and tolerances agreed upon during the First Article Inspection (FAI). If components are found to be defective due to our manufacturing process, ABC Manufacturing will, at its sole discretion, rework, replace, or credit the defective components provided they are reported within thirty (30) days of delivery.

4. Cancellation and Order Modification

Orders may only be canceled or modified with the written consent of ABC Manufacturing. In the event of cancellation, the Client shall be responsible for all costs incurred up to the date of cancellation, including raw materials procured, labor expended, and reasonable profit margins on work completed.

5. Limitation of Liability

Under no circumstances shall ABC Manufacturing be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenue, arising from the manufacture or delivery of goods, even if advised of the possibility of such damages. Total liability shall not exceed the value of the specific Purchase Order in question.
